KEIDI CARRINGTON

DIRECTOR OF FINANCIAL REGULATIONS

Keidi brings over 20 years of experience in the financial industry and in financial regulations, where she possesses sophisticated knowledge of securities law and regulations, including FINRA rules and SEC regulations, with particular emphasis in the Investment Company Act of 1940 and Investment Advisers Act of 1940. At The Terra Fund, Keidi is the Director of Financial Regulations, where she oversees the direction of officers and management on investment laws and regulations, drafts and negotiates agreements, provides guidance on investment vehicles and financial products within the U.S. and internationally.

Keidi was formerly a Securities Compliance Examiner at the Securities and Exchange Commission (SEC), where she was involved in determining regulatory adherence, led examinations to ensure proper compliance of SEC policies and oversaw the code of ethics within the financial community. She then worked at State Street Bank as Associate Counsel, where she drafted registration statements, reviewed shareholder reports, drafted and negotiated agreements for exchange traded funds and assisted chief compliance officers in discharging their duties through the Investment Company Act of 1940. Keidi was a Senior Regulatory Consultant at CompliGlobe Limited, where she provided consulting services to predominantly investment managers and investment advisers, where she advised on Commodity Futures Trading Commission (CFTC) compliance, including conducting annual reviews and organizing compliance training for management and staff.

In addition, Keidi has been serving as Principal Attorney at Carrington Legal Group for over 10 years and has consulted numerous startups and entrepreneurs in capital allocation of debt and equity financing, mergers and acquisitions, asset purchases and joint ventures. Furthermore, she represents issuers in private placements of securities under Regulation D to accredited, institutional and other investors, and counsels newly formed investment advisers, broker–dealers, commodity trading advisers and commodity pool operators with organizational structure and registration.

Keidi has a Bachelor in International Relations from John Hopkins University, obtained a Juris Doctorate from New England Law in Boston and received a Master of Laws in Banking and Financial Law from Boston University School of Law. Keidi further dedicates herself to volunteering by advising and assisting startups in financial and securities regulations, where she was a former Board Member at the Crispus Attucks Children Center and former President of the Board at Bird Street Community Center.
