ROSA RUIZ

DIRECTOR OF LEGAL AFFAIRS

Serving as The Terra Fund’s Director of Legal Affairs, Rosa is an acclaimed attorney and the organization’s subject matter expert in the areas of finance, SEC law and e–commerce. Her expertise in finance and SEC law has allowed Rosa to become an invaluable resource to Terra for all of the organization’s legal queries regarding finance and securities. Rosa’s role is to advise the organization regarding the risks and legal issues of the organizational strategies as they affect the organization's function, thus allowing leadership to make informed strategic risk assessments. Her understanding of both the law and SEC is a combination giving her an edge in her ability to understand the changing needs of the financial industry, as well as handle any future organizational legal issues which may occur pertaining to securities law. Rosa’s legal expertise utilizes her knowledge of SEC law to ensures all appropriate disclosures are signed, as well as ensuring all the employees maintain their fiduciary duties.

Prior to joining Terra, Rosa ran her own legal consulting company, allowing her to assist entrepreneurs in successfully starting online businesses, including the basics of creating an online store to handling international sales and trade agreements. Because of her previous experience as a legal consultant, she is extremely well versed in both trademark law and issues pertaining to industry copyright. As well, Rosa walked countless startups through the legal tangles of financing, funding and building a robust portfolio to sustain long–term growth and success. In Rosa’s previous experience, she was an associate at McAloon and Friedman, a full–range legal service provider specializing in malpractice defense, liability and general negligence litigation. While with McAloon and Friedman, she assisted in all aspects of discovery, including taking a primary role in conducting depositions, meeting with clients and also making appearances in court for conferences and official motions. Rosa’s time with McAloon and Friedman found her working closely with the finance industry, ensuring the proper malpractice insurance payout was being provided to the firm’s clients.

Rosa received her law degree from the Interamerican University School of Law, where she was a Law Review member and was a regular contributor to the annual Law Review publication. She earned her Bachelor of Arts in Criminal Justice and earned the honor of magna cum laude, from the University of Carolina. Rosa’s education includes international experience with her degree in Criminal Justice; she studied abroad in International Law at the University of Communications in Beijing. She maintains bar admission in both New York and Puerto Rico and also has a deep passion for social liberties and freedom, a belief instilled in her during her time interning with the American Civil Liberties Union.
